of claimed copyright infringement should be sent to Service Provider's
Designated Agent.
This agreement is effective until terminated by the University of Southern
California, at any time without notice. In the event of termination,
you are no longer authorized to access the bulletin boards and the restrictions
imposed on you with respect to material downloaded from the bulletin
boards, the disclaimers and limitations of liabilities set forth in
this agreement, shall survive.
You agree to indemnify and hold USC, its officers, directors, owners,
agents and employees, harmless from any claim or demand, including reasonable
attorneys' fees, made by any third party due to or arising out of your
use of this website, the violation of these terms and conditions by
you, or the infringement by you, or other user of the message boards
using your computer, of any intellectual property or other right of
any person or entity. USC reserves the right, at its own expense, to
assume the exclusive defense and control of any matter otherwise subject
to indemnification by you.
This agreement shall be governed by and construed in accordance with
the laws of the State of California without giving effect to any principles
or conflicts of law. If any provision of this agreement shall be unlawful,
void or for any reason unenforceable, then that provision shall be deemed
severable from this agreement and shall not affect the validity and
enforceability of any remaining provisions.
